Mostly just support for new camera models. Nikon never claimed any bug fixes in 2.2.3. The new design and other features might be worth it, but that only time will tell.

I just had to reinstall my Nikon 9000 scanner (but that is a tricky thing anyway, as 64 bit systems are not working normally with this scanner). The upgrade to win 7 ran smoothly and took only about 90 minutes and saved almost all settings. And vista 64 bit ran absolutely stable on my machine. I also upgraded to Win 7 64 bit on a quad core machine with 8 GB ram which did not bring much speed improvement if any (at least with nx2). So for people like me who do not need the new version, upgrading is not necessary or brings any benefit (my most recent camera is the D3X and this works fine with version 2.1.1).
